1. Acceptance of these terms

By creating an account, purchasing a service or subscription, or otherwise using the SimplBizz website or platform, you agree to these terms. If you are agreeing on behalf of a company or firm, you confirm that you are authorised to bind that entity.

If you do not agree to these terms, do not use the platform.

2. What we provide

SimplBizz provides two distinct things, and it is important to understand the difference between them.

• Software — a subscription to our platform, giving you access to the modules included in your plan for the duration of your subscription.
• Professional services — compliance work delivered by qualified professionals, such as GST returns, income tax filings, ROC filings, and company or LLP registration. These are purchased individually and delivered within the timeline stated on the relevant service page.

3. Accounts and eligibility

You must provide accurate and complete information when creating an account and keep it up to date. Client accounts are identified by PAN, and one account is permitted per PAN.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately if you believe your account has been accessed without authorisation.

We may suspend or terminate an account that is used in breach of these terms, that contains materially inaccurate information, or where required by law.

4. Your responsibilities

The quality and timeliness of the services we deliver depend directly on the information you provide.

• Provide complete, accurate and timely information and documents. Delays in providing what we request will extend the delivery timeline accordingly.
• Ensure you have the right to share any information or documents you upload.
• Review filings, returns and registrations we prepare before they are submitted, where we ask you to do so.
• Retain your own copies of your records. We are not a substitute for your own record-keeping obligations.
• Use the platform only for lawful purposes and not attempt to disrupt, reverse-engineer, or gain unauthorised access to it.

5. Fees, payment and taxes

Prices for services and subscriptions are shown on the relevant page and are inclusive or exclusive of GST as indicated at checkout. Payments are processed through our payment gateway; we do not store your card or bank details.

Subscriptions renew on the billing cycle you selected until cancelled. Professional services are charged per engagement at the price shown when you place the order.

We may revise our prices. Changes apply to new purchases and to subscription renewals falling due after the change; they do not affect a service already paid for.

6. Delivery and timelines

Delivery timelines shown on service pages are working-day estimates that begin once we have received the complete set of information and documents required for that service, and once payment has cleared.

Timelines depend in part on government portals and statutory authorities, whose processing times and availability are outside our control. We will keep you informed where an external delay affects your engagement.

7. Professional services disclaimer

We deliver compliance services with reasonable skill and care, in accordance with applicable law and professional standards. Nothing on our website constitutes legal, tax or financial advice, and general information published on the site should not be relied on as advice specific to your circumstances.

We are not responsible for penalties, interest or consequences arising from information you provided that was inaccurate or incomplete, from your failure to provide information in time, or from your decision not to act on our recommendations.

8. Intellectual property

The platform, its software, design, and content are owned by SimplBizz and protected by applicable intellectual property law. Your subscription grants you a limited, non-exclusive, non-transferable right to use the platform for your own business purposes for the term of your subscription.

You retain ownership of the data and documents you upload. You grant us the right to process them for the purpose of delivering the services you have engaged us for.

9. Availability

We aim to keep the platform available at all times but do not guarantee uninterrupted access. We may suspend access for maintenance, upgrades, or in response to a security issue, and will give advance notice where reasonably practicable.

10. Limitation of liability

To the extent permitted by law, our total liability arising out of or in connection with these terms is limited to the fees you paid to us for the specific service giving rise to the claim during the twelve months preceding it.

We are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data.

Nothing in these terms limits liability that cannot be limited under applicable law.

11. Termination

You may stop using the platform and cancel a subscription at any time, subject to our Refund and Cancellation Policy. We may suspend or terminate access where you materially breach these terms, where payment is overdue, or where required by law.

On termination, your right to use the platform ends. We will retain and delete your information in accordance with our Privacy Policy.

12. Governing law and disputes

These terms are governed by the laws of India. The courts at New Delhi have exclusive jurisdiction over any dispute arising out of or in connection with them.

Before commencing proceedings, we ask that you contact us so that we can attempt to resolve the matter directly.

13. Changes to these terms

We may update these terms from time to time. The date at the top of this page reflects the most recent revision. Continued use of the platform after a change takes effect constitutes acceptance of the revised terms.
